TAG Client Terms & Conditions

These terms govern every Triverre Advisory Group engagement and are incorporated by reference into each Engagement Agreement.

These Terms & Conditions ("Terms") govern any consulting, training, certification, workshop, online course, or executive coaching engagement ("Engagement") provided by Triverre Advisory Group ("TAG," "we," "us") to the client organization ("Client," "you"). They are incorporated by reference into every TAG Engagement Agreement and apply wherever the Agreement does not expressly state otherwise.

1. The Engagement

1.1 Each Engagement is defined by a written Engagement Agreement that sets out the scope of work, deliverables, fees, schedule, and any special terms. 1.2 These Terms, together with the Engagement Agreement, constitute the entire agreement for that Engagement. Where the Agreement and these Terms conflict, the Agreement controls for that Engagement only. 1.3 TAG provides advisory, consulting, and educational services. We do not provide legal, accounting, tax, medical, mental-health, or licensed financial-planning advice, and nothing we deliver should be treated as a substitute for the advice of a licensed professional.

2. Scope of Work

2.1 TAG performs only the work described in the Engagement Agreement. Work outside that scope requires a written change request and may adjust fees and timeline. 2.2 Deliverables are outlined in the Agreement. Unless explicitly stated, ongoing support, follow-on phases, and implementation beyond delivery are not included. 2.3 Timelines are estimates made in good faith and depend on Client cooperation, access, and timely decisions.

3. Client Responsibilities

3.1 The Client will provide timely access to people, systems, documents, and decisions needed to perform the work. 3.2 The Client will appoint a single primary contact authorized to make decisions on its behalf. 3.3 Delays caused by the Client may adjust the schedule and, if significant, the fees.

4. Fees & Payment

4.1 Fees, fee schedule, and payment terms are stated in the Engagement Agreement. 4.2 Unless the Agreement states otherwise, invoices are due net fifteen (15) days from the date of issue. 4.3 TAG may pause work on overdue invoices and may charge a late fee of 1.5% per month on past-due balances, to the extent permitted by law. 4.4 Fees are exclusive of applicable taxes, which the Client pays where required. 4.5 Reasonable out-of-pocket expenses (travel, materials, third-party services) incurred for the Engagement are billed at cost with receipts.

5. Cancellation & Rescheduling

5.1 Either party may cancel an Engagement with fifteen (15) days written notice. The Client pays for work performed up to the cancellation date and any non-refundable third-party costs already incurred. 5.2 Workshops and scheduled sessions may be rescheduled once without charge with at least ten (10) business days notice; shorter notice may incur a rescheduling fee stated in the Agreement.

6. Intellectual Property

6.1 TAG retains all rights to its methodologies, frameworks (including the Threefold Alchemy Framework™), templates, and pre-existing materials ("TAG Materials"). 6.2 The Client receives a limited, non-exclusive, non-transferable, internal license to use deliverables created specifically for the Engagement for its own business purposes. 6.3 The Client may not resell, sublicense, publicly distribute, or re-deliver TAG Materials or deliverables to third parties without written consent. 6.4 TAG may reference the Engagement and the Client's name in general descriptions of its work, unless the Agreement provides otherwise.

7. Confidentiality

7.1 Each party will keep confidential the non-public information it receives from the other and will use it only to perform or receive the Engagement. 7.2 Confidentiality survives the end of the Engagement for three (3) years. 7.3 Confidential information does not include information that is or becomes public through no breach, was already known, is independently developed, or is required to be disclosed by law or court order.

8. Data & Privacy

8.1 Each party handles personal data in line with applicable privacy laws. 8.2 TAG processes Client-provided data only as needed to deliver the Engagement and as described in the Triverre Institute Privacy Policy.

9. Warranties & Disclaimers

9.1 TAG warrants that it will perform the Engagement with professional skill and care consistent with industry standards. 9.2 Except for that warranty, services are provided "as is." TAG does not guarantee specific business outcomes, revenue results, or decisions made by the Client using the work product. 9.3 Advice and recommendations are based on information available at the time and may become outdated as circumstances change.

10. Limitation of Liability

10.1 To the fullest extent permitted by law, TAG's total liability for any Engagement is limited to the total fees paid by the Client for that Engagement. 10.2 Neither party is liable for indirect, incidental, consequential, or lost-profit damages, even if advised of their possibility.

11. Term & Termination

11.1 These Terms apply from the start of the first Engagement and remain in effect for all subsequent Engagements. 11.2 Either party may terminate an Engagement immediately for cause if the other materially breaches the Agreement and fails to cure the breach within fifteen (15) days of written notice. 11.3 Provisions that by their nature should survive — including Intellectual Property, Confidentiality, Limitation of Liability, and these Terms — remain in effect after termination.

12. General

12.1 These Terms and the Engagement Agreement are governed by the laws of the State of Indiana, without regard to conflict-of-laws principles. 12.2 The parties will attempt to resolve disputes informally first. Any unresolved dispute will be brought in the state or federal courts located in Marion County, Indiana. 12.3 Neither party may assign the Agreement without the other's written consent, except to a successor in a merger or sale of substantially all assets. 12.4 If any provision is found unenforceable, the remaining provisions stay in effect. 12.5 TAG may update these Terms from time to time; the version in effect at the start of an Engagement governs that Engagement.
